Z Business Fuel Card – Farmlands Customer Terms and Conditions
1. Parties and purpose
1.1 Farmlands Co‑operative Society Limited (Farmlands, we, us) has an arrangement with Z Energy Limited and Z Energy 2015 Limited (Z) under which Farmlands may make Z Business fuel cards (Card) available to eligible Farmlands customers (you, Cardholder).
1.2 The Card is provided to enable you to purchase fuel and related goods/services from Z and participating merchants in accordance with these Terms.
2. Acceptance and documents that apply
2.1 By signing for, activating, using, or allowing another person to use the Card, you agree to be bound by:
- (a) the Z Business Terms and Conditions (available at https://www.z.co.nz/for-businesses/z-business-fuel-card/terms-and-conditions/z-business-terms-and-conditions) (Z Terms); and
- (b) these Farmlands Z Business Fuel Card Terms and Conditions (Farmlands Terms).
2.2 If there is any inconsistency between the Z Terms and the Farmlands Terms, the Farmlands Terms will prevail to the extent of the inconsistency.
2.3 You acknowledge these Farmlands Terms include important provisions that limit or allocate liability, subject to clause 10 (Consumer Guarantees Act).
3. Prohibited purchases
3.1 You must not use the Card to purchase Lotto or Instant Kiwi products.
4. Billing, invoices and payment authority
4.1 You are responsible for all transactions processed on the Card in accordance with these Terms, including any applicable fees and charges.
4.2 You acknowledge that Z may invoice Farmlands for transactions processed on the Card and, to the extent those amounts are owing by you, you authorise Farmlands to debit your Farmlands Card account (or other agreed Farmlands account) for:
- (a) all amounts owing in relation to Card use; and
- (b) any applicable fees, charges, adjustments, taxes and government levies (excluding GST), to the extent not precluded by law.
4.3 Farmlands may provide you with transaction reporting or statements in any reasonable form (including electronically).
5. Loyalty programmes
5.1 Purchases made using the Card will not qualify for benefits under any Z loyalty arrangements with third parties (including Airpoints) unless Z expressly states otherwise.
6. Card security and unauthorised use
6.1 You must take reasonable steps to keep the Card and any PIN/credentials secure and to prevent unauthorised use (including not disclosing your PIN and promptly retrieving the Card from any person who should no longer have access).
6.2 If your Card or PIN is lost, stolen, compromised, or likely to be misused, you must notify Farmlands immediately by calling 0800 200 600 (or any updated number notified by Farmlands).
6.3 Unauthorised transactions:
- (a) You are not liable for unauthorised transactions to the extent they are not caused or contributed to by your fraud, breach of these Terms, or failure to take reasonable care (including failure to protect the Card/PIN or to notify us promptly under clause 6.2).
- (b) You remain liable for transactions that you authorise, or that occur because you (or someone you permit) acted fraudulently or did not take reasonable care.
6.4 Farmlands may require reasonable information from you to investigate disputed transactions and to support any chargeback, reversal, or recovery process that may be available.
7. Availability and acceptance
7.1 Farmlands is not responsible if Z or a merchant refuse to accept the Card.
7.2 Goods and services available through the Card are supplied by Z and/or the relevant merchant. Availability may vary by location and time.
8. Suspension, cancellation and return of Card
8.1 Farmlands or Z may suspend or cancel the Card:
- (a) immediately if we reasonably consider it necessary to manage fraud, security, compliance, credit, operational risk, or suspected misuse; or
- (b) otherwise, on reasonable notice where practicable.
8.2 If your Card is cancelled or you are requested to do so, you must promptly return the Card to Farmlands (or securely destroy it if Farmlands directs).
8.3 Cancellation does not affect any rights or obligations that have accrued before cancellation (including your obligation to pay amounts properly owing).
9. Liability allocation
9.1 To the maximum extent permitted by law, Farmlands is not liable for:
- (a) the supply, non‑supply, quality, or fitness for purpose of goods or services purchased using the Card (which are supplied by Z/merchants);
- (b) the acts or omissions of Z or merchants; or
- (c) any indirect or consequential loss suffered by you in connection with the Card.
9.2 Nothing in these Terms excludes or limits Farmlands’ liability for any liability that cannot legally be excluded.
10. Consumer Guarantees Act 1993 (CGA)
10.1 If you are acquiring goods or services for personal, domestic, or household use, you are entitled to the benefits of the relevant guarantees under the Consumer Guarantees Act 1993, and nothing in these Terms is intended to limit or exclude those rights.
11. Changes to these Terms
11.1 Farmlands may vary these Terms by giving you written notice (including by email or notification through Farmlands systems).
11.2 Any variation will apply prospectively from the effective date in the notice and will not affect transactions completed before that date.
11.3 If you continue to use the Card after the effective date, you are taken to have accepted the updated Terms.
12. Notices and contact details
12.1 You are responsible for ensuring Farmlands has your current contact details. Notices may be sent to the last email or postal address you provided.
13. Governing law
13.1 These Terms are governed by the laws of New Zealand and the parties submit to the non‑exclusive jurisdiction of New Zealand courts.
